By accessing or using ScopeFlag ("the Service"), operated by ScopeFlag ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.
2. Description of Service
ScopeFlag is a scope management platform that helps freelancers and small agencies define project scope, obtain client agreement, track change requests, and monitor project budgets. The Service includes web-based tools for creating scope documents, generating client-facing approval pages, and reporting on project changes.
3. User Accounts
To use ScopeFlag, you must create an account with a valid email address and password. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Providing accurate and complete information during registration
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are being used fraudulently.
4. Free and Paid Plans
ScopeFlag offers a free tier with limited features and paid subscription plans with additional capabilities. By subscribing to a paid plan:
- You agree to pay the applicable fees as displayed at the time of purchase
- Subscriptions renew automatically unless cancelled before the renewal date
- Fees are non-refundable except as required by applicable law or as described in our refund policy
- We reserve the right to change pricing with 30 days' notice to existing subscribers
5. Acceptable Use
You agree not to use ScopeFlag to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit malicious code, spam, or harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Service to harass, abuse, or harm others
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use automated tools to scrape, crawl, or extract data from the Service without our written consent
6. Your Content
You retain ownership of all data and content you create within ScopeFlag, including project information, scope documents, deliverables, exclusions, and change requests ("Your Content").
By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing and improving the Service. This includes making Your Content available on client-facing scope agreement and change request approval pages that you choose to share.
You are solely responsible for the accuracy and legality of Your Content. We do not review or validate the scope agreements, budgets, or change requests you create through the Service.
7. Client-Facing Pages
ScopeFlag generates shareable links for scope agreements and change request approvals. You are responsible for:
- The accuracy of information displayed on these pages
- Sharing these links only with intended recipients
- Ensuring that your use of these pages complies with any agreements you have with your clients
ScopeFlag is a tool to facilitate scope management. The scope agreements and change request approvals generated through the Service are between you and your clients. We are not a party to any agreement between you and your clients, and we do not provide legal advice. We recommend consulting a legal professional for binding contract needs.
8. Intellectual Property
The ScopeFlag name, logo, design, and all associated intellectual property are owned by us. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written consent.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users in advance of planned downtime.
10. Limitation of Liability
To the maximum extent permitted by law, ScopeFlag and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.
12. Termination
You may terminate your account at any time by contacting us at support@scopeflag.com. We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice.
Upon termination, your right to use the Service ceases immediately. We may delete your account data within 30 days of termination, unless retention is required by law.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the revised terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or in a court of competent jurisdiction.
